1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and PraiseThat ("Company," "we," "us," or "our") governing your access to and use of the PraiseThat platform, including any related websites, applications, and services (collectively, the "Service").

By accessing or using our Service, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Service.

2. Description of Service

PraiseThat is a software-as-a-service (SaaS) platform that enables businesses and individuals to:

  • Create branded testimonial collection forms
  • Receive and manage customer feedback and testimonials
  • Moderate and approve submissions for publication
  • Display approved testimonials on hosted pages and embedded widgets
  • Export testimonials in various formats

3. Account Registration and Security

3.1 Account Creation

To use certain features of the Service, you must register for an account. You agree to:

  • Provide accurate, current, and complete registration information
  • Maintain and promptly update your account information
  • Maintain the security and confidentiality of your login credentials
  • Notify us immediately of any unauthorized access or use of your account
  • Accept responsibility for all activities that occur under your account

3.2 Account Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) to create an account. By creating an account, you represent and warrant that you meet this requirement.

3.3 Account Termination

We reserve the right to suspend or terminate your account at our discretion if we believe you have violated these Terms or engaged in fraudulent or illegal activity.

4. User Content

4.1 Your Content

"User Content" means any content you submit, upload, or otherwise make available through the Service, including but not limited to workspace settings, form configurations, and any text, images, or other materials.

You retain ownership of your User Content. By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, store, display, reproduce, and transmit your User Content solely as necessary to provide the Service.

4.2 Testimonial Content

Testimonials submitted by third parties through your collection forms ("Testimonial Content") are owned by the original submitters. As a workspace owner, you are granted a license to use, display, and publish approved Testimonial Content in accordance with the consent preferences selected by each submitter.

You are responsible for:

  • Reviewing all testimonial submissions before approval
  • Ensuring published testimonials comply with these Terms
  • Honoring the consent preferences of testimonial submitters
  • Promptly removing content upon valid request from the original submitter

4.3 Prohibited Content

You may not submit, upload, or publish content that:

  • Is false, misleading, deceptive, or fraudulent
  • Infringes on intellectual property rights of others
  • Contains defamatory, libelous, or slanderous statements
  • Includes hate speech, harassment, or threats
  • Contains obscene, pornographic, or sexually explicit material
  • Violates any applicable law or regulation
  • Contains malware, viruses, or harmful code
  • Impersonates another person or entity
  • Violates the privacy rights of others

5. Acceptable Use

You agree not to:

  • Use the Service for any illegal purpose or in violation of any laws
  • Submit fake, fabricated, or incentivized testimonials
  • Attempt to gain unauthorized access to our systems or other users' accounts
  • Interfere with or disrupt the Service or servers
  • Reverse engineer, decompile, or disassemble the Service
  • Scrape, harvest, or collect data from the Service without permission
  • Use automated systems (bots, scripts) to access the Service
  • Resell or redistribute the Service without authorization
  • Violate any rate limits or usage restrictions

6. Payments and Subscriptions

6.1 Pricing

Certain features of the Service require a paid subscription. Current pricing is available on our pricing page. We reserve the right to change pricing with 30 days' notice.

6.2 Billing

Paid subscriptions are billed in advance on a monthly basis unless otherwise specified. By subscribing, you authorize us to charge your payment method for recurring fees until you cancel.

6.3 Payment Processing

All payments are processed by Stripe, Inc. By providing payment information, you agree to Stripe's Terms of Service. You represent that you are authorized to use the payment method provided.

6.4 Refunds

We offer a 14-day money-back guarantee for first-time subscribers. Refund requests must be submitted within 14 days of the initial subscription charge. Subsequent billing periods are non-refundable except at our discretion.

6.5 Cancellation

You may cancel your subscription at any time through your account settings. Upon cancellation, you will retain access to paid features until the end of your current billing period. No partial refunds are provided for unused time.

7. Intellectual Property

7.1 Our Rights

The Service, including its design, features, functionality, code, and documentation (excluding User Content and Testimonial Content), is owned by PraiseThat and protected by copyright, trademark, and other intellectual property laws.

7.2 Limited License

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for its intended purpose, subject to these Terms.

7.3 Feedback

If you provide feedback, suggestions, or ideas regarding the Service, we may use them without obligation to compensate you.

8. Privacy

Your use of the Service is subject to our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand how we collect, use, and protect your information.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that:

  • The Service will be uninterrupted, secure, or error-free
  • Results obtained from the Service will be accurate or reliable
  • The Service will meet your specific requirements
  • Any errors in the Service will be corrected

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PRAISETHAT AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

11. Indemnification

You agree to indemnify, defend, and hold harmless PraiseThat and its officers, directors, employees, contractors, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your use of the Service
  • Your violation of these Terms
  • Your User Content or use of Testimonial Content
  • Your violation of any third-party rights

12. Modifications to Service and Terms

12.1 Service Modifications

We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation.

12.2 Terms Modifications

We may update these Terms periodically. We will notify you of material changes by posting the updated Terms on this page with a new "Last updated" date and, where appropriate, by email. Your continued use of the Service after any changes constitutes acceptance of the new Terms.

13. Termination

You may terminate your account at any time by contacting us or using the account deletion feature. Upon termination:

  • Your right to use the Service will immediately cease
  • Your data will be deleted in accordance with our Privacy Policy
  • Any outstanding fees will remain due and payable
  • Provisions that by their nature should survive will remain in effect

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which PraiseThat is incorporated, without regard to conflict of law principles.

Any dispute arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If the dispute cannot be resolved within 30 days, either party may pursue available legal remedies.

15. General Provisions

15.1 Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and PraiseThat regarding the Service.

15.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

15.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

15.4 Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.
